END-USER LICENSE AGREEMENT (EULA)

SKYHOUSE MEDIA, LLC. ROYALTY FREE STOCK FOOTAGE END-USER AGREEMENT

THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND SKYHOUSE MEDIA, LLC. BY DOWNLOADING OR USING ANY STOCK FOOTAGE FROM OUR WEBSITE OR PURCHASING CONTENT ON A CD OR DVD, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS, PROMPTLY RETURN THE CONTENT TO US OR DESTROY IT IMMEDIATELY.

1. GRANT OF LICENSE:

This site (TheFootageResource.com) is owned and operated by Skyhouse Media, LLC, and all material contained herein is protected by applicable copyright and trademark laws. This agreement covers all of Skyhouse Media LLC's products and materials (hereinafter "The Content") including all images, films, videos or any other audio-visual representations recorded in any format, in addition to the way in which the Content is presented or appears, and the user acknowledges that they are the property of Skyhouse Media, LLC.

If you are entering this agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. If you stop working for your employer, your rights under this user agreement will terminate but your employer may continue to operate under this agreement.

Skyhouse Media, LLC. grants you a limited, non-exclusive and non-transferable Royalty Free license to use and modify The Content subject to the terms and conditions contained herein.

2. USER LICENSING:

This is a single user license agreement. The Content may only be modified or used on one computer at a time. You may make 1 (one) backup copy of the Content, provided you keep it only for archival purposes. When creating any derivative product from The Content, it must be for use by you, your employer, your client or customer, who must be the end user of your work. This shall not be deemed a concurrent use license. Please contact Skyhouse Media, LLC. to obtain a multi-user license if you wish to place The Content on a network of servers, or wish to use The Content to create an image library accessible to more than just yourself.

You may not rent, lease, lend, sell or sublicense The Content to another person, group or business entity.

3. PERMITTED AND PROHIBITTED USES FOR "ROYALTY FREE FOOTAGE":

i. You may incorporate The Content for usage in your commercial or editorial work such as video, film, broadcast, multimedia, website advertisement, live performance or presentation. You may copy, back up or archive The Content as need for internal use only as stated above.

ii. The Content or any editorial work incorporating The Content in any way may not be used, sold, sublicensed, reproduced, distributed, displayed, incorporated into or otherwise made available for display purposes such as stand alone backgrounds, screensavers, templates, stock elements, effect imagery, downloadable documents of any kind and you may not transfer the rights to The Content, except as specifically provided for elsewhere in this agreement.

iii. You may not place The Content in a downloadable format on the Internet, post in a forum, blog or on an electronic bulletin board.

iv. You may not include the content in any other clip media or stock product library, collection or set of clips for distribution or resale.

v. Neither The Content or any editorial work using or incorporating The Content may be included in any library, collection, or set of clips for distribution or resale. If the editorial work is in any way made available to the public, you understand and fully agree to take any reasonable steps to prevent a third party from duplicating or distributing any of The Content included in the editorial work and to notify Skyhouse Media, LLC. in writing of the steps you’ve taken to prevent unauthorized use. These Restrictions still apply if The Content has been significantly altered.

vi. The Content may not comprise more than 25% of the length of any editorial work, even if The Content is layered with other graphics, nor may the primary value of the product be derived from any of The Content as fully defined in this end user license agreement.

vii. You may not use or allow anyone to use any of The Content to create, pornographic, libelous, infringing, obscene, fraudulent, illegal, or defamatory material under any circumstance.

viii. None of this footage may be used to promote any prescription medication, drug or medical product, or over the counter supplement intended for sexual enhancement or the control of bodily functions without prior authorization.

ix. The Content is not available for purchase by any public school or public library, and the donation of The Content to a public library, school or any other public entity is strictly prohibited. Any Content found in any such location must be promptly destroyed or returned to Skyhouse Media, LLC. immediately. We may be contact by phone or e-mail. Students wishing to purchase a copy of The Content may contact us; student versions or discounts are not available at this time.

4. PERMITTED AND PROHIBITTED USES FOR "EDITORIAL STOCK FOOTAGE":

Editorial footage follows many of the same guidelines above; however, editorial footage may not be used for commercial or promotional purposes. Footage in this category may be suitable for documentary or editorial productions, such as documentary feature films, long-form TV documentaries or other educational programs. This license includes the right to distribute the project in its final form in all media, including the web, but must fall within one of the following genres, none of which are intended for commercial or promotional purposes:
• Documentary feature films
• Long-form TV documentaries
• Educational programs
• Editorial TV programming
• Affiliate or station promotions
• Video news releases
• Public service announcements
• Internet editorial
• Museum exhibits

5. COPYRIGHT

All The Content is Copyright Skyhouse Media, LLC. or its licensors and is protected by United States Copyright Laws, International treaty provisions and other applicable laws. No title or intellectual property rights in The Content is transferred to you. Skyhouse Media, LLC. retains all rights not expressly granted by this license agreement.

6. MARKETING USES

By using The Content, you grant Skyhouse Media, LLC and its affiliates including theFootageResource.com the right to display any editorial work using or incorporating The Content, in any reasonable marketing, educational, and/or promotional purpose as a sample of customer usage. Skyhouse Media, LLC. will identify you as the author of such editorial work upon receipt of your written request.

7. OWNERSHIP

All right, title and interest in The Content, including any updates or revisions thereto, remains the exclusive property of Skyhouse Media, LLC., its licensors and their successors and assigns. Other than the limited license clearly set forth in this end user license agreement, you have no further or additional interest in, right, or license to the Content. Nothing contained in this agreement is intended to imply a transfer of any interest in, right, or license to any of the Content. All rights of any kind in the Content, which are not expressly granted to you by this agreement, are entirely and exclusively reserved to and by Skyhouse Media, LLC.

8. INDEMNIFICATION

You agree to indemnify, and hold Skyhouse Media, LLC. and its affiliates including TheFootageResource.com harmless against any and all claims or liabilities asserted against Skyhouse Media, LLC. arising out of the access to TheFootageResource.com website or The Content, or in any connection with the breach of any of the terms of this agreement.

9. CREDIT

Skyhouse Media, LLC. requests a credit line that reads TheFootageResource.com

10. GENERAL

The laws in force in the state of Nevada, USA, will govern this agreement. If any provision of this agreement is held to not be enforceable, it will not affect the validity of the balance of the agreement, which shall remain valid and enforceable according to its terms. You agree that the product will not be shipped, transferred or exported into any country or used in any manner prohibited by any export laws, restrictions or regulations. Skyhouse Media, LLC. reserves the right to amend this agreement at anytime.
